 BILL OF EXCHANGE


A bill of exchange is an acknowledgment of debt given by one person to another, incorporating all the terms and conditions of payment.
പേയ്‌മെന്റിന്റെ എല്ലാ നിബന്ധനകളും വ്യവസ്ഥകളും ഉൾപ്പെടുത്തി ഒരു വ്യക്തി മറ്റൊരാൾക്ക് നൽകിയ കടത്തിന്റെ അംഗീകാരമാണ് ബിൽ ഓഫ് എക്‌സ്‌ചേഞ്ച് 

According to the Negotiable Instruments Act 1881, a bill of exchange is defined as “an instrument in writing containing an unconditional order, signed by the maker, directing a certain person to pay a certain sum of money only to, or to the order of a certain person or to the bearer of the instrument”.
നെഗോഷ്യബിൾ ഇൻസ്ട്രുമെന്റ്സ് ആക്റ്റ് 1881 അനുസരിച്ച്, ബിൽ ഓഫ് എക്‌സ്‌ചേഞ്ച്  നിർവചിക്കപ്പെടുന്നത് “ ഒരു നിശ്ചിത വ്യക്തിക്ക് അല്ലെങ്കിൽ അത് വഹിക്കുന്നയാൾക്ക്, അല്ലെങ്കിൽ ചില വ്യക്തികൾക്ക്  ഒരു നിശ്ചിത തുക മാത്രം നൽകാൻ നിർദ്ദേശിക്കുന്ന, നിർമ്മാതാവ് ഒപ്പിട്ട നിരുപാധികമായ ഓർഡർ അടങ്ങിയ രേഖാമൂലമുള്ള ഒരു പ്രമാണം ”.

Features of Bill of Exchange are as given below:

  1. A bill of exchange must be in writing. 
  2. It is an unconditional order to make payment
  3. The bill must be signed by both the drawee and the drawer
  4. The amount mentioned in the bill of exchange is payable either on demand or on the expiry of a fixed period of time.
  5. The amount payable must be certain.
  6. It must be stamped as per law

Parties to a bill of exchange
There are three parties, ie., drawer, drawee and payee.

  • Drawer: This is the maker of the Bill of exchange.
    ഡ്രോയർ: ഇതാണ് എക്‌സ്‌ചേഞ്ച് ബില്ലിന്റെ നിർമ്മാതാവ്.
  • Drawee: The person who has been directed to pay the sum of money mentioned in the Bill is referred to as the drawee.
    ഡ്രാവെ: ബില്ലിൽ സൂചിപ്പിച്ച തുക അടയ്ക്കാൻ നിർദ്ദേശിക്കപ്പെട്ട വ്യക്തിയെ ഡ്രാവെ എന്ന് വിളിക്കുന്നു.
  • Payee: The person who will be receiving the money is termed as the payee.
    പണമടയ്ക്കുന്നയാൾ: പണം സ്വീകരിക്കുന്ന വ്യക്തിയെ പണമടയ്ക്കുന്നയാൾ എന്ന് വിളിക്കുന്നു

Specimen of a Bill of Exchange


Promissory Note:

A promissory note is an undertaking in writting given by the debtor to the creditor to pay the latter a certain sum of money in accordance with the conditions stated therein. There are two parties to a promissory note, the promissor and the promisee.
അതിൽ പറഞ്ഞിരിക്കുന്ന വ്യവസ്ഥകൾ‌ക്കനുസൃതമായി ഒരു നിശ്ചിത തുക നൽകുന്നതിന് കടക്കാരന് കടക്കാരൻ കൊടുക്കുന്നരേഖാമൂലമുള്ള ഒരു ഉത്തരവാദിത്തപ്രമാണമാണ് പ്രോമിസറി നോട്ട്. ഒരു പ്രോമിസറി കുറിപ്പിന് രണ്ട് കക്ഷികളുണ്ട്, പ്രോമിസറും  പ്രോമിസിയും (വാഗ്ദാനം ചെയ്യുന്ന ആളും).

The person who owes some amount to another person makes or draws the instrument. He is the debtor and is also called promissor. (Maker or Drawer)

The persons in whose favour the pro-note is drawn. He is the creditor and is also called the promisee.

പ്രോ നോട്ടിന് അനുകൂലമായ വ്യക്തി വരച്ച വ്യക്തി. അവൻ കടക്കാരനാണ്, വാഗ്ദാനക്കാരൻ എന്നും വിളിക്കപ്പെടുന്നു . (ദ്രാവീ അല്ലെങ്കിൽ പണമടയ്ക്കുന്നയാൾ)

Features of a promissory note

1. It must be in writing.
2. It must contain an unconditional promise to pay.
3. It must be signed by all the parties.
4. The maker must be a certain person.
5. The person to whom payment is to be made must also be certain.
6. The amount payable must be certain.
7. It should be properly stamped.

2. അടയ്‌ക്കാനുള്ള നിരുപാധികമായ വാഗ്ദാനം അതിൽ അടങ്ങിയിരിക്കണം.
3. ഇത് എല്ലാ കക്ഷികളും ഒപ്പിടണം.
4. നിർമ്മാതാവ് ഒരു നിശ്ചിത വ്യക്തിയായിരിക്കണം.
5. പണമടയ്ക്കേണ്ട വ്യക്തിയും ഉറപ്പായിരിക്കണം.
6. നൽകേണ്ട തുക ഉറപ്പായിരിക്കണം.
7. ഇത് ശരിയായി സ്റ്റാമ്പ് ചെയ്യണം.



Drawing a Bill:
When goods are sold on credit the seller of goods draws (writes) a bill on the buyer asking him to pay the amount on demand or on a stipulated date to himself or to another person named on the bill. This is called “drawing a bill” and the instrument is called “Draft”
സാധനങ്ങൾ ക്രെഡിറ്റിൽ വിൽക്കുമ്പോൾ, സാധനങ്ങൾ വിൽക്കുന്നയാൾ വാങ്ങുന്നയാൾ ആവശ്യപ്പെടുന്ന തുക അല്ലെങ്കിൽ ഒരു നിശ്ചിത തീയതിയിൽ തനിക്ക് അല്ലെങ്കിൽ ബില്ലിൽ പേരുള്ള മറ്റൊരു വ്യക്തിക്ക് നൽകണമെന്ന് ആവശ്യപ്പെട്ട് ഒരു ബിൽ തയാറാക്കുന്നു (എഴുതുന്നു). ഇതിനെ “ഡ്രോയിംഗ് ബിൽ” എന്നും ഉപകരണത്തെ “ഡ്രാഫ്റ്റ്” എന്നും വിളിക്കുന്നു

Acceptance of a bill:
In simple terms, the acceptance of a bill of exchange is a guarantee of payment extended by the drawee towards the order of the drawer. Acceptance is vital because without it, the drawee of the bill is under no legal liability to make the payment on any bill addressed to him.
ലളിതമായി പറഞ്ഞാൽ, ഒരു എക്സ്ചേഞ്ച് ബില്ലിന്റെ സ്വീകാര്യത ഡ്രോയറിന്റെ ക്രമത്തിലേക്ക് ഡ്രോവി നീട്ടുന്ന പേയ്‌മെന്റിന്റെ ഗ്യാരണ്ടിയാണ്. സ്വീകാര്യത വളരെ പ്രധാനമാണ്, കാരണം ഇത് കൂടാതെ, ബില്ലിന്റെ ഡ്രോവിയെ അഭിസംബോധന ചെയ്യുന്ന ഏതെങ്കിലും ബില്ലിൽ പണമടയ്ക്കുന്നതിന് നിയമപരമായ ബാധ്യതയില്ല.

Negotiability :
Bills of exchange and Promissory Notes are negotiable instruments. Negotiability means that the holder of the instrument can transfer the title to another person. Negotiability is effected by mere delivery or by endorsement and delivery.
കൈമാറ്റ ബില്ലുകളും പ്രോമിസറി കുറിപ്പുകളും നെഗോഷ്യബിൾ ഉപകരണങ്ങളാണ്. നെഗോഷ്യബിലിറ്റി എന്നാൽ പ്രണാമത്തിന്റെ   അവകാശം     ഉടമയ്ക്ക് മറ്റൊരു വ്യക്തിക്ക് കൈമാറാൻ കഴിയും. കൈമാറുന്നത്  കേവലം ഡെലിവറിയിലൂടെയോ അംഗീകാരത്തിലൂടെയോ ആണ്.

Maturity of Bill:
The term maturity refers to the date on which a bill or promissory note becomes due for payment. In arriving at the maturity date three days known as “days of grace” must be added to the date on which the period of credit expires instrument is payable.
മെച്യൂരിറ്റി എന്ന പദം പേയ്‌മെന്റിനായി ഒരു ബിൽ അല്ലെങ്കിൽ പ്രോമിസറി നോട്ട് വരുന്ന തീയതിയെ സൂചിപ്പിക്കുന്നു. മെച്യൂരിറ്റി തീയതിയിൽ എത്തുമ്പോൾ “ഗ്രേസ് ഡേയ്‌സ്” എന്നറിയപ്പെടുന്ന മൂന്ന് ദിവസം ക്രെഡിറ്റ് കാലഹരണപ്പെടുന്ന അല്ലെങ്കിൽ അടയ്‌ക്കേണ്ട തീയതിയിൽ ചേർക്കേണ്ടതാണ്.

Discounting a bill:
If the holder of a bill wants cash immediately he can approach the bank and enchash the bill before the due date. The bank will deduct from face value of the bill a certain amount called discount (interest) and pays the balance to the holder of the bill. The bank gets the payment from the drawee on the due date.
ഒരു ബിൽ കൈവശമുള്ളയാൾക്ക് ഉടൻ തന്നെ പണം വേണമെങ്കിൽ ബാങ്കിനെ സമീപിച്ച് നിശ്ചിത തീയതിക്ക് മുമ്പായി ബിൽ എൻകാഷ് ചെയ്യാം. ഡിസ്കൗണ്ട് (പലിശ) എന്ന് വിളിക്കുന്ന ഒരു നിശ്ചിത തുക ബാങ്ക് ബില്ലിന്റെ മുഖവിലയിൽ നിന്ന് കുറയ്ക്കുകയും ബാക്കി തുക ബിൽ ഉടമയ്ക്ക് നൽകുകയും ചെയ്യും. നിശ്ചിത തീയതിയിൽ ഡ്രോവയിൽ നിന്ന് ബാങ്കിന് പേയ്‌മെന്റ് ലഭിക്കും.

Endorsement:
An endorsement is a written order on the back of the instrument by the payee or the holder for transferring his right to another person.
പണമടച്ചയാൾ അല്ലെങ്കിൽ ഉടമ വഴി അവന്റെ അവകാശം മറ്റൊരു വ്യക്തിക്ക് കൈമാറിയതിന് പ്രമാണത്തിന്റെ പിൻഭാഗത്ത് രേഖപ്പെടുത്തുന്ന ഉത്തരവാണ് ഒരു മേലൊപ്പുവയ്ക്കല്

Dishonour of a Bill:
When the acceptor fails to meet the bill on the date of maturity, the bill is said to have been dishonoured. In this case, the liability of the acceptor comes into existence and the entries made on the receipt of the bill should be reversed.
കാലാവധി പൂർത്തിയാകുന്ന തീയതിയിൽ സ്വീകർത്താവ് ബിൽ പാലിക്കുന്നതിൽ പരാജയപ്പെടുമ്പോൾ, ബിൽ അപമാനിക്കപ്പെട്ടുവെന്ന് പറയപ്പെടുന്നു. ഈ സാഹചര്യത്തിൽ, സ്വീകർത്താവിന്റെ ബാധ്യത നിലവിലുണ്ട്, ബിൽ രസീതിൽ നൽകിയ എൻ‌ട്രികൾ പഴയപടിയാക്കണം.

Noting Charges:
When a bill is dishonoured due to non-payment, it is usual to get it ‘noted’, to establish the matter of dishonour. The noting is done by “Notary Public.” Noting authenticates the fact of dishonour. For providing this service, a fees is charged by the Notary Public which is called Noting Charges.

Renewal of the bill:
Sometimes the acceptor of the bill foresees that it may be difficult to meet the obligation of the bill on maturity and may, therefore approach the drawer with the request for extension of time for payment. If it is so, the old bill is cancelled and . the fresh bill with new terms of payment is drawn and duly accepted and delivered. This is called renewal of the bill. The drawee may have to pay interest to the drawer for the extended period of credit.

Retiring of the Bill:
Making payment of the bill of exchange before the due date is called retiring of the bill. To encourage the retirement of the bill, the holder allows some discount called “Rebate on bill” for the period between date of retirement and maturity. The rebate is calculated at a certain rate of interest.
നിശ്ചിത തീയതിക്ക് മുമ്പായി എക്സ്ചേഞ്ച് ബിൽ അടയ്ക്കുന്നത് ബില്ലിന്റെ വിരമിക്കൽ എന്ന് വിളിക്കുന്നു. ബില്ലിന്റെ വിരമിക്കൽ പ്രോത്സാഹിപ്പിക്കുന്നതിന്, വിരമിക്കൽ തീയതിയും കാലാവധി പൂർത്തിയാകുന്നതുമായ കാലയളവിലേക്ക് “റിബേറ്റ് ഓൺ ബില്ല്” എന്ന് വിളിക്കുന്ന ചില കിഴിവ് ഹോൾഡർ അനുവദിക്കുന്നു. റിബേറ്റ് ഒരു നിശ്ചിത പലിശ നിരക്കിലാണ് കണക്കാക്കുന്നത്.

Accounting treatment

A bill can be treated in the following four ways by its receiver.
